In this role, you will :
Kimberly-Clark Corporation ("K-C") seeks to hire an experienced and highly motivated attorney for the position of Assistant General Counsel M&A and Strategic Transactions.
The position will report to and work closely with K-C’s Associate General Counsel for M&A and Corporate Affairs.
The primary responsibility for the Assistant General Counsel M&A and Strategic Transactions will be to support K-C in executing its M&A growth playbook and moving forward with its new strategy of powering care.
The role will be responsible for providing legal support on M&A and corporate transactions globally, including acquisitions, divestitures, joint ventures, equity investments and strategic partnerships, being involved in the legal portion of the transaction process from the pipeline and planning stages all the way through negotiation, documentation, closing, implementation and separation / integration.
This position will also be called upon to advise on commercial negotiations as well as provide counsel and support on corporate finance matters and corporate governance matters on an as-needed basis.
The ideal candidate will be strategic, hands-on and collaborative with a strong desire to grow and build an in-house career with K-C.
The position will play a high-impact leadership role in executing K-C’s active and growth-minded strategy. This role will have a full view of K-C’s Global Legal team, including attorneys specializing in intellectual property employment, compensation and benefits, data privacy, competition and litigation, and extensive exposure to leaders outside of legal, including business clients and leaders from Corporate Development, Finance, Accounting, Human Resources, Treasury, Tax, Investor Relations and Communications.
The individual hired for this position will be responsible for :
- Supporting mergers and acquisitions and strategic transactions, including contributing to internal investment presentations, negotiating non-disclosure agreements, advising on transaction structuring, coordinating due diligence efforts, negotiating transaction agreements and ancillary documents, overseeing and managing outside counsel and assisting with separation and integration matters.
- Working closely as a trusted strategic partner with the Corporate Development team through the lifetime of a transaction.
- Advising critical business clients on key decision points, risk analysis and other transactional matters.
- Advising and collaborating with cross-functional global teams to make decisions regarding complex legal issues and risks to ensure consistency with overall business strategy and company policies.
- Driving continuous improvements and scalability in deal processes and execution, including developing an internal playbook.
- Actively managing and directing internal resources, outside counsel and significant budgets.

To succeed in this role, you will need the following qualifications :
- JD degree with strong academic credentials and admitted to practice law in at least one State Bar in the United States.
- 7+ years of experience in M&A transactions (with a comprehensive understanding of M&A structures, agreements and business and legal issues).
- Previous large law firm experience strongly .
- Previous experience with finance, debt, equity investment, commercial transactions or complex strategic partnerships preferred, though having led such transactions is not required.
- Comfort and experience assessing, evaluating and prioritizing the wide variety of legal considerations relevant to a transaction corporate law, real estate, finance, employee benefits, commercial arrangements, intellectual property, etc.
- Ability to participate as an integral member of the Corporate Development team.
- Flexibility and creativity in dealing with complex legal issues.
- Ability to direct and manage relationships and budgets with outside counsel.
