This is a New York opportunity for an experienced associate attorney to counsel clients on a wide range of employee, executive and human resource issues.
Our client’s Executive Compensation & ERISA practice is a highly sophisticated practice encompassing all aspects of executive compensation and employee benefits, including the Employee Retirement Income Security Act (ERISA), federal income tax and securities laws and state corporate law.
You will collaborate with the firm’s accomplished M&A and Private Equity teams, advising clients on employee benefits and executive compensation matters arising in connection with mergers, acquisitions, dispositions, and other related transactions.
Private and public companies rely on this group to structure and design their equity compensation arrangements, while private equity sponsors and their portfolio companies seek the group’s representation in financial and strategic transactions, including IPOs and other company exits.
You will regularly advise clients on complex fiduciary matters related to asset management transactions, with a particular emphasis on the application of ERISA’s fiduciary and prohibited transaction rules to the structuring, operation, and administration of a wide range of private investment funds and investment management arrangements.
You will frequently represent executive management teams, including CEOs and other C-Suite executives, in their highest-stakes matters.
You will assist in negotiating change-in-control arrangements, significant co-investment opportunities, high-ticket multiyear employment contracts, complex performance-based pay packages, separation arrangements involving significant amounts of equity, and similar arrangements.
