Job Responsibilities
- Responsible for leading all legal and compliance matters related to the investment portfolios for operating insurance and reinsurance businesses.
- Oversee governance and controls related to the investment policies.
- Review and analyze investment transactions.
- Review state / federal laws related to insurance company investments.
- Work closely with senior management and the investments teams on executing investment transactions.
- Provide legal and business counsel to senior management and other key leaders.
- Draft, review, and negotiate legal documents related to insurance investments, including investment agreements, asset management agreements, and other transactional documents.
- Provide legal support for investment transactions, ensuring compliance with regulatory requirements.
- Oversee and lead all aspects of the investment compliance process, including ensuring compliance with investment guidelines and monitoring investment managers.
- Assess and manage legal and financial risks associated with insurance investments.
- Support investment team with subscription documents and regulatory and KYC issues for investment transactions.
- Coordinate and manage outside counsel, as needed.
- Provide support for holding company and operating company boards and investment committees.
- Provide support for other major projects as and when they arise (e.g., capital raising, mergers and acquisitions, etc.).
