Job Title : Corporate Counsel

What you'll do :
- The position of Corporate Counsel is to provide support, assistance and legal advice to the bank and its holding company and affiliates on a variety of corporate matters, including : corporate governance;
- bank regulatory matters, SEC and NYSE reporting; subsidiary management and corporate filings; evaluation and implementation of strategic and tactical corporate initiatives;
- documentation and due diligence responsibilities in connection with mergers and acquisitions, securities offerings, equity investments and other business transactions;
- the development of certain corporate policies, procedures, and programs; working with outside counsel, in particular related to maintenance of intellectual property portfolio;
and providing continuing advice and counsel on legal matters and on the legal implications of all corporate matters.
What we are looking for :
- Advises the bank with respect to corporate governance matters and compliance with applicable laws and regulations, including corporate and federal securities laws.
- Provides legal support on major business transactions, including acquisitions, divestitures, investments and joint ventures.
- Handles routine and complex business transactions, including drafting and negotiating contracts.
- Participates on strategic teams to develop and implement Company products and initiatives.
- Participates in the development of certain corporate policies, procedures and quality control programs.
- Engage in work with outside counsel for various engagements on behalf of the Company, in particular related to maintenance of intellectual property portfolio.
- Works on a wide variety of issues and legal requirements applicable to a publicly traded company.
- Supports boards and committees of the bank and its affiliates.
- Assists other in-house attorneys on legal projects as needed.
- Oversees non-attorney staff as necessary to ensure the delivery of quality legal services.
Qualifications :
- Juris Doctor from an accredited law school.
- Active license to practice law in Arizona or other U.S. jurisdiction.
- 3+ years of relevant experience or training in private practice or in-house.
- Advanced knowledge of state and federal laws and regulations applicable to corporations.
- Knowledge in some or all facets of the following : corporate and contract law, federal securities laws and related SEC and NYSE rules, bank regulatory rules.
- Excellent writing and contract drafting skills.
- Advanced ability to review legal research, analyze and summarize findings as necessary.
- Exceptional oral, interpersonal and presentation skills. Exceptional organizational and time management skills.
