We have been engaged by a successful privately held real estate development company to recruit an Associate General Counsel Joint Ventures & Transactions with at least ten (10+) years of on-point corporate experience.
This position will report to the Deputy General Counsel & Vice President and will be the primary go-to attorney in the company responsible for drafting, reviewing and negotiating Joint Venture Agreements as well has other general corporate work including LLC Agreements and limited partnership agreements, and entity formation.
This position is ideal for a proactive corporate attorney who is capable of managing complex legal transactions and is comfortable working in a fast-paced, collaborative environment.
Job Responsibilities :
- Drafting and Negotiation : Take primary responsibility for drafting, reviewing, and negotiating Joint Venture Agreements, including LLC Agreements and limited partnership agreements, as well as Development Management Agreements, Construction Contracts, and Property Management Agreements.
- Entity Formation : Oversee the formation of entities and the preparation of all related formation documents.
- Corporate Law Support : Provide a range of corporate law support across various legal matters as needed.
- Advisory Role : Offer legal advice and guidance on business decisions, balancing both legal and commercial considerations.
- Negotiations : Participate in all negotiations with third-party equity partners, ensuring the companys interests are well-represented.
- Collaboration : Work closely with the development, construction, risk management, property management, and accounting departments, as well as with external tax advisors, to ensure comprehensive legal support for all projects.
Experience and Qualifications :
- 10+ years and J.D. from an accredited law school and current active admission to a US State Bar
- JV Agreement Expertise : Extensive experience drafting complex Joint Venture Agreements is required.
- Corporate Law Knowledge : Strong understanding of corporate legal entities, specifically limited liability companies and limited partnerships, and the associated corporate laws is required.
- Transaction Leadership : Proven experience in leading transactions is required.
- Real Estate Development : Experience in drafting Joint Venture Agreements for real estate development is preferred but not mandatory.
- Contract Drafting : Experience drafting Development Management Agreements, Construction Contracts, and Property Management Agreements is preferred but not essential.
- Firm Experience : Experience working in a larger law firm is preferred but not required.
- Collaborative Skills : Ability to effectively collaborate with all internal departments.
- Deadline Management : Ability to meet deadlines and work with a strong sense of urgency; responsiveness and quick turnaround are crucial.
