Associate Attorney – Transactional / Corporate

Gray Ice Higdon PLLC is seeking an experienced transactional / corporate associate attorney to join our Business Practice Group. The ideal candidate will have a strong background in corporate and business law, excellent drafting skills, and the ability to assist in the management of complex transactions.

Responsibilities

  • Advise clients on a wide range of business and corporate matters, including entity formation, governance, strategy, and compliance.
  • Draft, review, and negotiate a variety of commercial contracts, operating agreements, shareholder agreements, and other corporate documents.
  • Represent clients in mergers, acquisitions, joint ventures, and other business transactions.
  • Assist clients with general business contract matters, including drafting, reviewing, and negotiating proposed agreement terms.
  • Provide guidance on intellectual property, employment, and real estate considerations related to business operations.
  • Collaborate with other attorneys, paralegals, and firm staff to deliver exceptional client service.
  • Maintain strong client relationships and contribute to business development efforts.

Qualifications

  • Active membership in a State Bar.
  • Relevant experience in transactional or corporate law.
  • Strong drafting, negotiation, and analytical skills.
  • Excellent communication and organizational abilities.
  • Proven ability to work both independently and as part of a collaborative team.
  • Eagerness to engage directly with client representatives.
