Purpose :

This position will work closely with the General Counsel and other members of the Legal, Risk Management and Ethics and Compliance teams to provide essential support in a variety of corporate legal matters including, but not limited to, legal case management, corporate governance, budgets, matter and invoice management, compliance, and contract management.

Essential Functions :

Manage North American legal cases, subpoenas and other legal matters, including some matters at the Group Level, and including reporting on behalf of the Legal Department.

Legal Case Management : Manage litigation, generally, and the discovery process through document collection, organization, and maintaining contact with external counsel, vendors, and internal resources.

Generate early case assessment reports for significant matters to the Company.Maintain litigation files digitally for efficiency and accessibility.

Keep management informed of all new developments and progress by preparing monthly litigation reports.Provide Group reporting on significant litigation on a quarterly basis.

Attend mediations / hearings / oral arguments / settlement discussions as appropriate.Review and approve answers to interrogatories, requests for production, discovery responses and timelines.

Communicate with various insurance carriers to discuss the payment process, percent share (, for asbestos related lawsuits), settlement process and their assessment of the cases.

Monitor legal activities and plan of action against Group goals.Manage company litigation hold process.

Corporate Governance : Assist in maintaining corporate records, including drafting resolutions, minutes, consents and other corporate documents.

Coordinate with internal stakeholders and external counsel (when necessary) to ensure compliance with corporate governance requirements.

Maintain corporate books, attend board meetings, and act as an assistant officer for multiple entities.

Budgets : Assist General Counsel with budget preparation and analysis : Prepare departmental budget, administer and develop summaries and presentations for support.

Track departmental costs and analyze legal invoices for reasonableness and help identify cost saving opportunities. Maintain benchmarking data and metrics to help assess departmental performance.

Coordinate with business units and external counsel to help establish legal budgets for the fiscal year.Establish new vendors and obtain purchase orders for payment processing in accordance with Legal Department and Procurement policies.

Arrange quarterly reserve meetings with businesses, risk management, insurance claim handlers (as applicable), and other appropriate external sources to discuss financial impact of the cases on the Group.

  • Matter and Invoice Management : Maintain the legal database utilizing matter and invoice software, particularly the cost details and reporting.
  • Compliance : Monitor and ensure compliance with relevant laws, regulations, and internal policies, including : Review and develop policies and procedures including at the Group Level to conform to legal requirements (NA Records Management Policy, Group Site Access Policies, Major Incident Management, etc.

Maintain Legal Department’s Record Management system in compliance with the Record Retention Policy.Administer Iron Mountain services, authorize access on IM Connect, provide guidance and training, conduct records management and destruction projects, and monitor invoices and usage within all business units and functions.

Contract management : Provide templates for non-disclosure and other contract agreements to ensure contracts comply with company policies and legal requirements.

Maintain digital copies of executed contracts for required retention period.

  • Adherence to NSG / Pilkington Standards of Business Conduct and its Values and Principles.
  • Other duties as assigned by manager, including some administrative support.

Qualifications Required :

  • Paralegal or 5-7 years experience in the legal field
  • Excellent PC skills and proficient with Microsoft Office
  • Excellent verbal and written communication skills and strong organizational skills
  • Ability to use independent judgment in completing tasks and operate under limited supervision
  • Ability to find pragmatic solutions to problems

Qualifications Desired :

  • Bachelor’s degree in business or related field
  • 3-5 years experience in corporate legal environment
  • Notary Public, State of Ohio

The Salary Range posted represents Pilkington North America’s good faith and reasonable estimate of the possible compensation at the time of the posting.
