Paralegal / Corporate Governance Support
HYBRID - 3 IN OFFICE / 2 REMOTE

Responsibilities :
- Provide paralegal assistance to attorneys that support the commercial sales, logistics, fleet, and real estate departments
- Maintain corporate records and minute books of company and its subsidiaries, including drafting and preparing documentation relating to formation, dissolution, and merger of such entities
- Coordinating with company’s registered agent to ensure corporate entities meet all statutory requirements and maintain good standing in various jurisdictions
- Maintaining organizational charts and information related to company’s officers, directors, and committees
- Drafting consents, resolutions, and officer certificates in connection with transactions and other organizational actions
- Drafting and maintaining powers of attorney and delegations of authority authorized by company
- Assisting with closings of transactional matters, including mergers, acquisitions, and real estate purchases and sales
- Assisting various subsidiaries, business units, and departments with research and information gathering request.
- Support a variety of transactional matters by reviewing, drafting, and negotiating various contracts and documents, as well as providing other general transactional support needed.
- Reviewing, drafting, and revising various commercial contracts and documents using the company’s templates, such as supply agreements, distribution agreements, co-packing agreements, product guaranties, and indemnity agreements.
Assisting with all aspects of product sales to state and federal governmental entities in connection with RFPs, bids, and other forms of sales transactions
Reviewing, drafting, and revising various real estate contracts and documents in connection with the acquisition, disposition, and leasing of the company’s real property assets
