Job Title : Corporate Paralegal
Job Description :
As a Corporate Paralegal, you will support the legal department in various corporate governance, compliance, and transactional matters.
Your primary responsibilities will include preparing and maintaining corporate documents, assisting with mergers and acquisitions, conducting legal research, and ensuring compliance with state and federal regulations.
You will also liaise with external legal counsel, coordinate the execution of contracts, and manage corporate records.
Key Responsibilities :
- Prepare and maintain corporate records, including board minutes, resolutions, and filings.
- Assist in the formation and dissolution of corporate entities.
- Support mergers and acquisitions, including due diligence and document preparation.
- Conduct legal research and draft memos, agreements, and other legal documents.
- Ensure compliance with applicable laws and regulations.
- Manage and organize corporate legal files and databases.
- Coordinate with internal departments and external counsel as needed.
Qualifications :
- Bachelor’s degree or Paralegal certification required.
- 8+ years of experience as a paralegal, preferably in a corporate setting.
- Strong knowledge of corporate law and procedures.
- Excellent organizational, communication, and research skills.
- Ability to manage multiple tasks with a high degree of accuracy and attention to detail.
