Job Description :

This Corporate & Transactions Attorney supports our Purpose in their work supporting the negotiation, drafting, and review of major contracts. This role primarily supports Southwest's Technology Department, and they'll draft and negotiate technology agreements, amendments, and analyze / interpret existing agreements. The primary focus of this role will be supporting review and negotiation of data privacy and security terms. This Attorney will work collaboratively with Teams and Leaders in Technology, Supply Chain Management, Marketing, Data Privacy, Cybersecurity , and various stakeholders throughout the Company. The Corporate & Transactions Attorney is a detail-oriented thinker and is excited to champion their work and stakeholders forward. Responsibilities
Draft, review, and negotiate commercial agreementsAnalyze and interpret existing Company agreements to provide legal advice and guidanceProvide legal counsel and guidance regarding applicable laws, regulations, and policies to multiple departments within the CompanyCollaborate with legal department colleagues on a variety of legal, regulatory and policy issuesProvide legal support and advice to support compliance with the Company's corporate policiesPerform other duties requiring legal research and analysis and / or negotiations as may be requestedMay be required to perform other job duties as directed by Employee's LeadersKnowledge, Skills and Abilities
Skilled in written and oral communication, ability to work effectively with all levels of Southwest Employees, Southwest executives, clients, outside counsel, vendors, and othersSkilled in interpersonal relationships, ability to work well with others as part of a teamAbility to perform well under pressureAbility to exercise judgment sufficient to handle and resolve issues related to sensitive and confidential legal mattersAbility and willingness to gain expertise and perform work in new areas of the lawAbility to be proactive, have excellent organizational skills, and perform efficiently and effectively on multiple projects under tight deadlinesEducation
Required : High School Diploma or GEDRequired : Bachelor's DegreeRequired : Law degree from accredited schoolExperience
Intermediate level experience, expansive and far reaching knowledge as a licensed practicing attorney with a practice focus on corporate law and commercial transactionsPreferred :Experience drafting, reviewing, interpreting, advising on, and negotiating technology contracts - including complex transactions involving the following :
Professional Services agreementsSoftware-As-A-Service agreementsSoftware Licensing agreementsHardware Purchase agreementsHosting agreementsData Subscription agreementsThree (3) or more years specializing in privacy legalDeep understanding of key contracting issues in technology contracts, including data, privacy, liability, cybersecurity and AI useExperience drafting and negotiating privacy and cybersecurity terms in technology purchase agreements, including data protection agreements, standard contractual clauses, and other data related amendments or addendaFamiliarity with privacy issues related to AI and MLIn-depth knowledge of global privacy and data protections laws, frameworks and best practices, including GDPR, CCPA, NIST, ISO 27001 and other similar requirements and standardsExperience developing or managing a legal playbooks and templatesExperience advising on privacy and cybersecurity topics related to technology products and services, including cross-border data transfers, vendor data handling practices, and security obligationsStrong collaboration skills; able to work effectively with cross-functional teams and business stakeholders to manage risks and resolve contract issuesIAPP certifications (CIPP / US, CIPP / E, or CIPT)Physical Abilities

Competitive market salary from $166,280 per year to $180,120 per
year
depending on qualifications and experience. For eligible Leadership and individualcontributor roles, additional bonus opportunities are available and awarded at the
discretion of the company.
