How will you make an impact?
MGIC is currently seeking an exceptional Corporate Counsel to join our in-house corporate team. Reporting to the VP, Assistant General Counsel, you will be responsible for providing corporate legal counsel to MGIC.
Successful candidates will have growth opportunities within a thriving organization. The Corporate
Counsel role includes the following responsibilities :
CONTRACTING : Draft or negotiate contracts and agreements in compliance with internal corporate policies, regulatory requirements, contractual obligations, and the company’s risk appetite.
Such contracts and agreements may include :
- Reinsurance transactions including insurance linked notes;
- Service, license and consulting agreements related to information technology;
- Service and consulting agreements related to the company’s value-add suite of services;
- Service and consulting agreements related to marketing initiatives; and
- Confidentiality and non-disclosure agreements
CAPITAL MARKETS : Execute on capital markets transactions, including mortgage insurance-linked note transactions.
CORPORATE SUSTAINABILITY : Working at the direction of the General Counsel, manage and execute on initiatives related to corporate sustainability reporting.
GOVERNMENT RELATIONS :
- Oversee legal compliance with lobbying requirements and PAC solicitations for the company’s political action committee.
- Engage with corporate government relations and regulatory initiatives as needed.
GENERAL CORPORATE :
- Collaborate with Compliance team to research, review and advise on compliance and ethics matters as may be required or requested.
- Conduct legal research into strategic or tactical issues which concern the company, including regulatory compliance, product development, artificial intelligence, or other matters affecting the mortgage insurance industry.
- Provide legal oversight on a variety of privacy issues including data governance, cyber security and state consumer protection laws.
- Provide advice and counsel regarding advertising, promotions and contests which may be offered from time-to-time.
- Consult and provide legal oversight and advice on certain claims decisions to ensure compliance with the company’s contractual obligations.
- Respond to 3rd party subpoenas and oversee smaller litigation matters.
- Assist Securities Counsel with certain legal matters related to publicly traded companies.
Do you have what it takes?
Education : Requires a Law degree and admission to the Bar in Wisconsin
Experience : 3-7 years of corporate legal experience. Must have a willingness to undertake a wide variety of corporate legal issues.
We are willing to train the right candidate and do not expect candidates to have experience in all responsibilities described.
Experience in insurance viewed favorably.
